1. Definitions
   Client: The individual or organization engaging Digital Hub Services LLC for consulting or business development services.
   Digital Hub Services LLC: The company providing strategic guidance, advisory services, and facilitation of business opportunities.
   Project: The particular engagement or assignment as described in the agreed-upon proposal or contract.
   Deliverables: Documents, insights, referrals, reports, strategies, or any other materials produced during the course of service delivery.

2. Service Engagement

2.1. The Client agrees to retain the services of Digital Hub Services LLC for the specific business consulting or development solutions outlined in the proposal or contract.

2.2. Digital Hub Services LLC commits to executing its services professionally and in good faith, applying its knowledge and efforts within the agreed-upon timeline.

3. Payment and Billing

3.1. Compensation for services will be based on the terms set forth in the project agreement.

3.2. A deposit or milestone-based payments may be required in accordance with the signed contract.

3.3. Any expansion of scope or request for additional work beyond the original agreement will be estimated separately and subject to mutual written agreement.

4. Timelines and Delivery

4.1. Digital Hub Services LLC will provide an estimated completion schedule. Timeframes may change due to unforeseen circumstances or delays from the Client’s side.

5. Revisions and Feedback

5.1. Clients may request changes or provide input as allowed under the initial agreement. Revisions beyond the original scope may involve extra charges.

6. Ownership and Intellectual Property

6.1. Upon full payment, the Client will own all final deliverables specific to the project, except for proprietary tools, systems, or methodologies used by Digital Hub Services LLC.

6.2. Unless otherwise stated in writing, Digital Hub Services LLC may showcase non-confidential elements of the work for marketing or portfolio purposes.

7. Confidentiality

7.1. Both parties agree to protect and not disclose any confidential, proprietary, or sensitive business information shared during the course of the project.

7.2. Digital Hub Services LLC will not distribute the Client’s confidential materials or strategic information to third parties without written authorization.

8. Termination

8.1. Either party may terminate the agreement by providing written notice. The Client will be invoiced for work completed up to the date of termination, including any non-refundable fees.

8.2. Upon termination, all completed deliverables up to that point will be handed over to the Client, and services will cease.

9. Limitation of Liability

9.1. Digital Hub Services LLC is not responsible for any direct or indirect results—financial or otherwise—arising from the implementation of its advice, referrals, or deliverables.

9.2. The Client agrees to indemnify and hold Digital Hub Services LLC harmless from any liability, loss, or claim resulting from decisions made using the company’s guidance.

10. Governing Law

10.1. This agreement is governed under the laws of the United States, and any legal disputes will fall within the jurisdiction of U.S. courts.
